1. Acceptance of Terms
By accessing or using DataGraph.city (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to all users of the Service, including free tier users, paid subscribers, and API consumers.
2. Description of Service
DataGraph.city provides a GraphRAG-powered API for querying urban infrastructure data, including but not limited to:
- NYC Subway station data and transit information
- GOSR (Goal-Obstacles-Solutions-Resources) civic program data
- Urban planning and infrastructure datasets
- Model Context Protocol (MCP) server integration for AI assistants
The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.
3. Account Registration and API Keys
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your API key(s)
- Be responsible for all activity that occurs under your API key
- Notify us immediately of any unauthorized use
You may not share, transfer, or sublicense your API key to third parties. Each organization or project must maintain its own account.
4. Pricing and Payment
4.1 Subscription Tiers
We offer multiple subscription tiers with different usage limits:
- Free Tier: $0/month - For anyone to explore and use the Service
- Starter Tier: $5/month - For small commercial projects
- Pro Tier: $12/month - For growing applications and businesses
- Enterprise Tier: Custom pricing - For high-volume users
4.2 Billing
Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
4.3 Cancellation and Refunds
You may cancel your subscription at any time. If you cancel within 14 days of your initial subscription, you will receive a full refund. After 14 days, cancellations take effect at the end of the current billing period. We do not provide refunds for partial months, unused queries, or renewals after the initial 14-day period.
To request a refund within the 14-day grace period, contact us at hello@datagraph.city with your account email and reason for cancellation.
4.4 Usage Limits
Each tier has specific query limits per month and rate limits per minute. If you exceed your tier's limits, your API requests may be throttled or blocked. Repeated violations may result in account suspension.
5. Acceptable Use Policy
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to circumvent rate limits, usage limits, or other restrictions
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to harass, abuse, or harm others
- Scrape, crawl, or use automated means to access the Service beyond API endpoints
- Resell, redistribute, or sublicense the Service without written permission
- Use the Service to build a competing product or service
- Transmit any viruses, malware, or other malicious code
- Overload or interfere with the proper functioning of the Service
Violation of this Acceptable Use Policy may result in immediate termination of your account.
6. Data Sources and Accuracy
DataGraph.city aggregates data from public sources, including but not limited to:
- NYC Open Data portal
- GOSR (gosr.ai) civic program datasets
- Metropolitan Transportation Authority (MTA) data
- Other publicly available urban infrastructure sources
No Warranty of Accuracy: While we strive to provide accurate and up-to-date information, we make no representations or warranties regarding the completeness, accuracy, or reliability of any data provided through the Service. Data may be outdated, incomplete, or contain errors.
LLM-Generated Content: Our Service may process queries using Large Language Models (LLMs). LLM-generated interpretations or summaries should not be considered factually guaranteed. Always verify critical information with original sources.
You are solely responsible for how you use and interpret data from the Service. We are not liable for decisions made based on this data.
7. Intellectual Property
7.1 Service Ownership
The Service, including its code, design, documentation, and infrastructure, is owned by DataGraph.city and protected by copyright, trademark, and other intellectual property laws.
7.2 Data Ownership and Attribution
The underlying datasets we aggregate come from various sources with different licenses:
- NYC Open Data: Public domain or Open Data Commons licenses
- MTA Data: Publicly available transit data
- GOSR Datasets: Licensed under Creative Commons Attribution 4.0 International (CC BY 4.0) from team-earth/data
We claim no ownership over these public datasets. However, our specific organization, structuring, and presentation of this data (the "Data Graph"), as well as our API and GraphRAG implementation, is our intellectual property.
Attribution: If you use GOSR data obtained through our Service, you must provide attribution as required by the CC BY 4.0 license. We recommend: "GOSR data from team-earth/data, accessed via DataGraph.city"
7.3 Your Use of Data
Subject to these Terms and your subscription tier, we grant you a limited, non-exclusive, non-transferable license to access and use data from the Service for your permitted purposes.
Free Tier users: Personal and non-commercial use.
Paid Tier users: Commercial use permitted within usage limits.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
- The Service will meet your specific requirements
No oral or written information or advice given by us shall create a warranty.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DATAGRAPH.CITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless DataGraph.city, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
12. Termination
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including for:
- Violation of these Terms
- Fraudulent activity or payment disputes
- Abusive behavior or excessive resource consumption
- Any reason at our sole discretion
Upon termination, your right to use the Service will immediately cease. You remain liable for all charges accrued prior to termination.
You may terminate your account at any time by emailing hello@datagraph.city.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by posting a notice on our website. The "Last Updated" date at the top of this page will be updated accordingly.
Your continued use of the Service after changes to these Terms constitutes your acceptance of the modified Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DataGraph.city regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
15.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet disruptions.
